Educator Licence Agreement

This Educator Licence Agreement ("Agreement") sets out the terms under which Demi's Nails & Beauty Academy ("the Academy", "we", "our" or "us") grants a licence to purchasers of our Educator Manuals and associated educational resources.

By purchasing an Educator Manual, you confirm that you have read, understood and agree to this Agreement.

 

1. Grant of Licence

Upon successful purchase, the Academy grants you a limited, non-exclusive, non-transferable licence to use the purchased Educator Manual in accordance with this Agreement.

This licence grants permission to use the educational materials only in the manner described within this Agreement.

Purchase of an Educator Manual does not transfer ownership of the underlying intellectual property.

 

2. Ownership

All Educator Manuals, Canva templates, written content, graphics, layouts, educational systems, course structures and associated materials remain the exclusive intellectual property of Demi's Nails & Beauty Academy.

The Academy retains all copyright and ownership rights.

No ownership rights are transferred through the purchase of an Educator Manual.

 

3. Permitted Use

Subject to this Agreement, the licence holder may:

• Use the purchased manual within their own education business.
• Teach students using the purchased manual.
• Print copies for students attending their own training courses.
• Personalise editable Canva templates where editing has been made available.
• Add their own branding where permitted.
• Make reasonable edits to suit their own business.

These permissions apply only to the original purchaser.

 

4. Licence Holder

The Educator Licence is granted solely to the individual or business that purchased the manual.

The licence may not be:

• Assigned.
• Shared.
• Sold.
• Transferred.
• Sublicensed.
• Gifted.

Any change of ownership requires the Academy's prior written consent.

 

5. Canva Templates

Where editable Canva templates are supplied:

• Access is granted only to the purchaser.
• Canva links are confidential.
• Canva links must not be shared with any third party.
• The purchaser is responsible for keeping access secure.

The Academy reserves the right to revoke Canva access where this Agreement has been breached.

 

6. Restrictions

Unless expressly authorised by the Academy in writing, the licence holder must not:

• Sell the Educator Manual as a standalone product.
• Resell Canva templates.
• Share editable Canva links.
• Upload the files to websites or file-sharing services.
• Permit another educator to use the materials.
• Copy the materials for another academy.
• Create competing template products from the Academy's work.
• Remove copyright notices.
• Claim authorship of the original materials.
• Grant permission for another person to use the materials.

 

7. Student Manuals

Student course manuals supplied during Academy training are not Educator Manuals.

Purchasing or attending an Academy course does not grant permission to teach using Academy manuals.

Only customers who have separately purchased an Educator Manual together with the accompanying licence are permitted to use Academy educational materials for teaching purposes.

 

8. Copyright

All copyright remains the property of Demi's Nails & Beauty Academy.

Nothing contained within this Agreement transfers ownership of:

• Copyright.
• Trademarks.
• Branding.
• Logos.
• Course structures.
• Educational systems.
• Written materials.
• Videos.
• Photography.
• Canva templates.

The licence grants permission to use the purchased materials only.

 

9. Security

Licence holders are responsible for protecting the Academy's educational resources.

Reasonable steps should be taken to prevent unauthorised access, copying or distribution.

The Academy recommends storing editable resources securely and limiting access to authorised individuals within your own business.

 

10. Artificial Intelligence

Academy Educator Manuals, Canva templates and educational resources must not be uploaded into artificial intelligence platforms for the purpose of reproducing, redistributing or generating competing educational products.

Licence holders remain responsible for protecting the Academy's intellectual property when using AI-assisted tools.

 

11. Breach of Licence

If the Academy reasonably believes that this Agreement has been breached, it reserves the right to:

• Suspend or terminate the licence.
• Remove access to digital resources.
• Revoke Canva access where technically possible.
• Refuse future purchases.
• Request the removal or destruction of unauthorised copies.
• Recover financial losses where appropriate.
• Take legal action where necessary.

Termination of the licence does not affect any other legal rights available to the Academy.

 

12. No Implied Rights

The licence holder receives only the rights expressly granted under this Agreement.

Any rights not specifically granted remain reserved by Demi's Nails & Beauty Academy.

Purchasing an Educator Manual does not grant permission to:

• Sell Academy materials.
• Distribute Academy materials outside your own business.
• Create competing template businesses using Academy content.
• Claim ownership of Academy intellectual property.

 

13. Termination

The Academy may terminate this licence immediately where there has been a material breach of this Agreement.

Upon termination, the licence holder must immediately cease using the licensed materials and comply with any reasonable requests made by the Academy regarding unauthorised use of its intellectual property.

 

14. Governing Law

This Agreement shall be governed by the laws of Ireland.

Any disputes arising from this Agreement shall be subject to the jurisdiction of the Irish courts, subject to any mandatory consumer rights
